STATE AND FEDERAL FILING REQUIREMENTS

MyCorporation's sole responsibility is the preparation of your requested form. Any requirements or obligations for the maintenance of your corporation, business entity or other business services are NOT the responsibility of MyCorporation and are the sole responsibility of you. We strongly suggest that you send all correspondence to third parties via U.S. Certified Return Receipt Mail.

RETURNS AND REFUNDS

In the event that you are dissatisfied with our service, MyCorporation will undertake its best efforts to resolve the matter to your satisfaction. If you still remain dissatisfied after MyCorporation's attempts to resolve the matter, the following terms and conditions apply. All refund requests must be made within sixty (60) days of issuance of services.

MyCorporation cannot issue refunds if such request is made over sixty (60) days following the dispatch of the services by MyCorporation. MyCorporation shall issue no refunds except for state filing fees for orders placed on hold by customer longer than three months after the original order date.

RETURNING PHYSICAL PRODUCTS

You have 60 days from the product's ship date to be eligible for a refund under the satisfaction guarantee. You must include a copy of the packing slip for a refund.

Any and all funds already applied towards state filing fees, publications fees, corporate kits and/or shipping and handling are nonrefundable. No refunds will be given for documentation sent to the customer for review or signature and not returned within 60 days from the date the documents were sent. There is a twenty-five dollar ($25.00) reprocessing fee for any changes on documents after customer receives initial documents.

Transmission of email is at your own risk. MyCorporation cannot accept responsibility for your transmission of confidential information or any obligation with respect to that information.

SUBMISSION OF CORRECT INFORMATION BY YOU

You agree that you are responsible for the spelling and other information forwarded to MyCorporation and that information is exactly as you desire for MyCorporation to perform the Services requested. Submission of credit card information via our website, via facsimile, or otherwise authorizes MyCorporation to charge your credit card for the Services.

PURCHASE OF SERVICES BY AGENT

You agree that, if an agent (e.g., an Internet Service Provider, employee, attorney, CPA, etc.) purchased our Services on your behalf, you are nonetheless bound as a principal by all terms and conditions herein.

OTHER SERVICES

Other Services offered by MyCorporation, including, but not limited to, MyCorpSocial and MyCorpVault, are expressly included and hereby limited pursuant to the terms of this agreement.

MyCorpSocial

Provides information relating to different social media outlets. Any views expressed are its own. The information contained therein is based on its own research. Nothing presented should be construed to guarantee results of any kind. Because of the fast moving nature of the industry, content may lose relevance, change meaning, or even fail to represent accurately the current condition. MyCorpSocial will do its best to update, but has no obligation to do so. MYCORPSOCIAL MAKES NO REPRESENTATION ABOUT ANY CONTENT OR INFORMATIONMADE ACCESSIBLE BY OR THROUGH THE SERVICES.

MyCorpVault

Use of the MyCorpVault service (“Service”) is only permitted in connection with content and data that is owned by you and does not violate the intellectual property or privacy rights of others. All data used in connection with the Service must not be obscene, immoral, pornographic or offensive under the law.

Limited Access to the Service: MyCorporation strives for 24-7 availability of the Service. However, there will be downtime for maintenance and other purposes which may be necessary. Unintended interruptions and unscheduled downtime may also occur and are not a breach of this Agreement.

Data

You may only use Your Data with the Service. “Your Data” means your electronic data, or data legitimately used by you personally or by your business, that is transmitted to MyCorpValut as part of the licensed use of the Service. Transmission of Your Data to us must comply with our then-current specifications and guidelines. You promise that Your Data, and the transmission and storage of it to and by us, will not violate rights or intellectual property of any third party. Your Data will be kept secure and confidential by us.

When you register for an account, and thereafter, you agree to pay all subscription charges and applicable sales taxes and fees accruing for your use of the Service. Recurring charges will be billed based upon your agreement at initiation of the Service.

Failure to make full payment within thirty (30) days of the due date will result in suspension of the account. You will be notified via email of account delinquency. Failure to make timely payment, cancellation of services and/or requests for refund will then result in account delinquency and revocation of the license to use the Service. If payment in full is made, the license to use the Service may be restored. Absent payment, all account access and data will be erased and permanently destroyed. MyCorporation and MyCorpVault have no liability for the destruction or loss of access to any data.

Loss Of Service

MYCORPORATION IS NOT RESPONSIBLE FOR LOSS OF USE OF THE SERVICE OR ANY WEBSITE, INTERNET ACCESS, HARDWARE OR SOFTWARE, LOSS OF DATA (INCLUDING YOUR DATA) IN TRANSIT TO OR FROM US, COSTS OF RECREATING LOST DATA, COST OF ANY SUBSTITUTE PERFORMANCE, EQUIPMENT, SOFTWARE, OR SYSTEM, OR CLAIMS BY ANYONE OTHER THAN YOU.

RIGHT OF REFUSAL

MyCorporation, in its sole discretion, reserves the right to refuse to provide Services to you. You agree that MyCorporation shall not be liable to you for loss or damages that may result from our refusal to provide Services.

SEVERABILITY

In the event that any of the provisions of this Agreement are held to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

GOVERNING LAW

This Agreement is entered into in the state of California and shall be construed in accordance with the laws of California, exclusive of its choice of law rules. You submit to the exclusive jurisdiction of the State and Federal Courts having jurisdiction in the County of Los Angeles in the state of California, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorney fees.

COMPLIANCE WITH APPLICABLE LAWS

You agree that you are in compliance with all applicable laws and regulations pertaining to or governing your use of this Site, and you agree to indemnify and hold MyCorporation harmless from and against any and all claims, damages, losses or obligations suffered or incurred by you arising from your failure to comply.

WAIVER

No term or provisions hereof shall be deemed waived and no breach excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party to, or waiver of a breach by the other, whether express or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

ENTIRE AGREEMENT

You agree that this Agreement amounts to the complete and exclusive agreement between you and MyCorporation regarding our Services. This Agreement supersedes any prior agreements and understandings, whether oral or written and whether established by custom, practice, policy or precedent.

BY USING THIS SITE AND/OR ANY SERVICES RELATED THERETO, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THE TERMS OF USE AND DISCLAIMER.
